TUKTUK — TERMS & CONDITIONS OF USE

These Terms & Conditions of Use (“Terms”) govern your access to and use of the mobile and web applications, website(s), services, content, and related functionality provided by Tuktuk, a service operated by Sigler Digital Solution Pvt. Ltd. (the “Company”) through the Tuktuk app and website (collectively, the “Services”). By downloading, registering for, or using the Services, you (“User”, “Member”, “you”, “your”) acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, please do not use the Services.

1. DEFINITIONS

Services — all features offered through Tuktuk including free content, paid services, chat, voice calls, video calls, messaging, expert consultations, reports, subscriptions, wallet, and marketplace features.

Experts / Service Providers — individuals or entities listed on the platform that provide consultations, content or other services; they are third-party independent providers unless otherwise stated.

GCC — member states of the Gulf Cooperation Council (e.g., UAE, Saudi Arabia, Qatar, Kuwait).

Wallet — in-app Tuktuk credit balance used for refunds, payouts and purchases.

2. UPDATES TO TERMS

We may modify these Terms at any time. Updated Terms will be posted in the app or site with an effective date. Continued use after posting constitutes acceptance. It is your responsibility to review these Terms periodically.

3. ELIGIBILITY & REGISTRATION

  • You must be at least 18 years old and legally capable of entering into contract under applicable law.
  • You agree to provide accurate, current, and complete registration information and keep it updated. Failure to do so may result in suspension or termination.
  • Account access (phone number, OTP, email, third-party login) is personal and non-transferable. You are responsible for all activity under your account.
  • Notify us immediately of any unauthorized use of your account.

4. CONSENT & COMMUNICATIONS

By registering you consent to receive service-related communications (SMS, email, push notifications, WhatsApp Business Messages).

Where required by law, by using Tuktuk you consent to cross-border processing of your personal data (e.g., transfer to India) in accordance with our Privacy Policy.

5. SERVICES, PAYMENTS & PRICING

Tuktuk provides both Free and Paid Services. Paid Services may be charged per-unit (for example, per-minute for calls), subscription, or one-off fees as shown at checkout.

  • All prices and billing terms are displayed in the app at the time of purchase. We reserve the right to change prices and charge for new services; price changes do not affect previously paid services unless expressly stated.
  • Payments may be processed in local currency where available for GCC users. Taxes (including VAT) applicable in the user’s territory may be collected at checkout.
  • You authorize us to charge your chosen payment method for all fees and applicable taxes.

6. REFUNDS, CANCELLATION & NO-SHOWS

Unless otherwise specified in a separate written agreement, refunds are strictly limited and discretionary. Tuktuk’s policy (set out here) governs all refund requests.

No refund will be issued once a paid Service has been executed (call connected, chat exchanged, report assigned and processing started), except in the narrow cases described below.

  • Refunds may be considered (at Tuktuk’s sole discretion) for technical failures that make delivery impossible — e.g., proven network disconnects, inaudible sessions, or failures attributable to Tuktuk platform or vendor systems. Proof and logs will be reviewed.
  • All refunds, if any, will be credited first to the User’s Tuktuk Wallet. Tuktuk may deduct transaction costs, shipping, duties or other legitimate expenses incurred before issuing refunds.
  • To cancel a paid order before execution you must contact Customer Support within the time window displayed at checkout. Tuktuk is not obligated to grant cancellations and refunds.
  • Multiple payments for the same order resulting from payment gateway issues will be refunded in full upon verification.
  • For subscription services, pro-rata refunds may be made for activation delays at Tuktuk’s sole discretion.

7. CALLS / CHAT WITH EXPERTS

Calls/chats may be recorded for quality, audit, training and fraud-prevention purposes. By using Services you consent to such recording and usage in accordance with our Privacy Policy.

Tuktuk may facilitate calls to your mobile number even if it appears on national DND registries, as permitted by law; by using the Service you grant permission for this.

Experts onboarded on Tuktuk are independent third parties and not employees or agents of Tuktuk unless expressly stated. Tuktuk only facilitates the connection.

8. EXPERT ONBOARDING & PAYOUTS

Tuktuk onboard experts in jurisdictions specified by us (India by default). Tuktuk does not establish employment or permanent establishment in other territories (including GCC) by listing an expert.

Payouts to Experts are subject to TDS, compliance checks, PAN/UPI verification and platform rules. Incorrect or missing documentation may delay or reduce payouts.

Tuktuk reserves the right to withhold, adjust or deduct amounts from payouts to correct errors, fraud, chargebacks or statutory deductions.

9. PROHIBITED CONTENT & CONDUCT

You must not use Tuktuk for illegal, harmful or prohibited content. Examples include (but are not limited to):

  • Child exploitation/sexual content, grooming, trafficking.
  • Pornography, sexual services, escorting, compensated sexual acts or solicitation.
  • Hate speech, harassment, threats, doxxing, bullying.
  • Terrorist or extremist content, instructions for violence, weapon-making.
  • Promotion or facilitation of illegal drugs, psychotropic substances, sale of restricted items (firearms, explosives).
  • Malware, hacking, scraping, unauthorized data harvesting.
  • Fraudulent activity, impersonation, misrepresentation, or resale of Services without written permission.

Tuktuk may suspend or terminate accounts and remove content that violates this clause.

10. USER CONTENT & IP

By submitting content you grant Tuktuk a perpetual, royalty-free, transferable, sublicensable, worldwide license to host, use, reproduce, modify, publish, translate, distribute, display and prepare derivative works for operation, promotion and improvement of Services.

You represent and warrant you own or have rights to upload any content and that it does not infringe third-party rights.

Tuktuk retains all rights to its platform and proprietary materials. Unauthorized copying, reverse engineering or distribution of our app or content is prohibited.

11. PRIVACY

Our Privacy Policy governs collection, storage, use and transfer of personal data. By using Tuktuk you acknowledge and accept the Privacy Policy.

For cross-border users (e.g., GCC), by using Tuktuk you consent to transfer of your personal data to India and other jurisdictions as needed for service delivery, subject to applicable laws.

12. USER RESPONSIBILITIES & WARRANTIES

  • Use the Services lawfully and in good faith.
  • Provide accurate information and keep it updated.
  • Protect your account credentials and notify Tuktuk of any unauthorized use.
  • Not to reproduce or resell Tuktuk services without express written permission.

13. DISCLAIMERS & LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, TUKTUK PROVIDES SERVICES “AS IS” AND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TUKTUK DOES NOT GUARANTEE THE QUALITY, ACCURACY, TIMELINESS OR OUTCOME OF ANY EXPERT ADVICE OR SERVICE. USERS SHOULD SEEK APPROPRIATE PROFESSIONAL ADVICE WHERE REQUIRED.

TUKTUK IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR SPECIAL DAMAGES, LOSS OF PROFITS, DATA LOSS, OR LOST BUSINESS OPPORTUNITY.

NOTWITHSTANDING ANYTHING TO THE CONTRARY, TUKTUK’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL BE LIMITED TO THE AMOUNT PAID BY YOU TO TUKTUK DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY. This cap applies even if other remedies fail of their essential purpose.

14. INDEMNIFICATION

You will indemnify, defend and hold harmless Tuktuk and its affiliates, officers, directors, employees, agents and service providers from and against all claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of your use of the Services, your content, your violation of these Terms, or your violation of any third-party rights.

15. TERMINATION & SUSPENSION

Tuktuk may suspend or terminate your access at any time for violation of Terms, suspected fraud, legal reasons, or at our discretion — with or without prior notice.

Upon termination, your right to use Services ceases immediately. Tuktuk may retain copies of your content and records as required by law or business needs.

Termination does not relieve you of outstanding payment obligations nor limits any indemnity or other provisions that by their nature survive termination.

16. RECORDS, ACCESS & QUALITY REVIEW

Tuktuk may access account records, chats and call recordings for quality assurance, dispute resolution, fraud detection or compliance. Users requesting refunds or disputes authorize Tuktuk and its quality/audit team to access relevant recordings and logs for assessment.

17. DISPUTE RESOLUTION & GOVERNING LAW

Any dispute arising from or relating to these Terms shall first be referred to Tuktuk’s internal grievance process. If unresolved, disputes shall be finally settled by arbitration in Bengaluru, India under the Arbitration and Conciliation Act, 1996, by a sole arbitrator mutually appointed. The seat of arbitration shall be Bengaluru; proceedings shall be in English.

Notwithstanding the foregoing, either party may seek interim injunctive relief from the courts in Bengaluru. The courts in Bengaluru shall have exclusive jurisdiction for such actions.

These Terms shall be governed by the laws of India, excluding private international law rules.

18. LOCALIZED / GCC USERS

Where Services are used by GCC residents, local taxes (e.g., VAT) may be applied at checkout. By using Services from the GCC you consent to cross-border supply of digital services from India and to our data transfer practices described in our Privacy Policy. No local hiring or local expert onboarding in GCC is created by these Terms.

19. CHANGES TO SERVICES & CONTENT

Tuktuk reserves the right to modify, suspend or discontinue any aspect of the Services at any time without liability. We may remove, edit or refuse any content or features.

20. NOTICES & CONTACT

Notices to you may be given via email or in-app messages and deemed delivered 24 hours after sending. Notices to Tuktuk: the contact details in the app or [support email] shall apply.

For region-specific support use support emails published in-app or on our website.

21. MISCELLANEOUS

If any provision of these Terms is found invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable; the remaining provisions will remain in full force.

These Terms, together with any additional terms presented to you at the time of purchase and our Privacy Policy, constitute the entire agreement between you and Tuktuk regarding the Services.

No waiver by Tuktuk of any breach shall be deemed a waiver of any subsequent breach.

22. DISCLAIMER

YOU AGREE THAT YOUR USE OF THE TUKTUK APPLICATION, WEBSITE, SERVICES, AND ALL RELATED FEATURES (“SERVICES”) IS AT YOUR OWN SOLE RISK. SIGLER DIGITAL SOLUTION PVT. LTD. (“TUKTUK”, “WE”, “US”, or “OUR”) PROVIDES THE SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

WITHOUT LIMITING THE FOREGOING, TUKTUK EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND FREEDOM FROM VIRUS OR HARMFUL CODE.

WE DO NOT WARRANT OR GUARANTEE THAT:

  • THE SERVICES OR ANY CONTENT THEREIN WILL BE ACCURATE, RELIABLE, COMPLETE, OR TIMELY;
  • THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR DEFECT-FREE;
  • ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR
  • THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TUKTUK DOES NOT CONTROL OR ASSUME RESPONSIBILITY FOR:

  • HOW OR WHEN USERS USE THE SERVICES,
  • THE ACTIONS, CONDUCT, OR CONTENT OF ANY USER OR THIRD PARTY (INCLUDING EXPERTS, CONSULTANTS, OR PARTNERS), OR
  • ANY EXTERNAL LINKS, CONTENT, OR SERVICES ACCESSED THROUGH TUKTUK.

TUKTUK IS NOT LIABLE FOR ANY LOSS, DAMAGE, INJURY, OR HARM RESULTING FROM INTERACTIONS OR TRANSACTIONS BETWEEN USERS AND THIRD-PARTY SERVICE PROVIDERS, OR FROM ANY ADVICE, INFORMATION, OR COMMUNICATION PROVIDED THROUGH THE PLATFORM.

WE RESERVE THE RIGHT TO MODIFY, SUSPEND, OR DISCONTINUE ANY SERVICE OR FEATURE AT ANY TIME, WITH OR WITHOUT NOTICE, AND WITHOUT ANY LIABILITY WHATSOEVER.

TUKTUK, ITS HOLDING COMPANY, SUBSIDIARIES, AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, REPUTATION, OR BUSINESS OPPORTUNITY, ARISING FROM OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, THE TOTAL LIABILITY OF TUKTUK AND SIGLER DIGITAL SOLUTION PVT. LTD., FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE AMOUNT PAID BY YOU (IF ANY) FOR THE RELEVANT SERVICE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

YOU EXPRESSLY RELEASE TUKTUK AND SIGLER DIGITAL SOLUTION PVT. LTD., AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND AFFILIATES, FROM ANY AND ALL CLAIMS, COMPLAINTS, ACTIONS, DEMANDS, OR DAMAGES (COLLECTIVELY, “CLAIMS”) — WHETHER KNOWN OR UNKNOWN — ARISING OUT OF OR IN CONNECTION WITH THE CONDUCT, CONTENT, OR ACTIONS OF ANY THIRD PARTY OR OTHER USERS OF THE SERVICE.

NOTHING IN THIS DISCLAIMER SHALL LIMIT ANY RIGHTS THAT CANNOT BE LIMITED UNDER APPLICABLE CONSUMER LAWS. WHERE LOCAL LAWS DO NOT PERMIT CERTAIN DISCLAIMERS OR EXCLUSIONS, SUCH PROVISIONS SHALL APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

IN CASE ANY PROVISION OF THIS DISCLAIMER IS HELD TO BE INVALID OR UNENFORCEABLE, THE REMAINING PROVISIONS SHALL REMAIN IN FULL FORCE AND EFFECT, AND SUCH INVALID OR UNENFORCEABLE PROVISION SHALL BE MODIFIED TO THE MINIMUM EXTENT NECESSARY TO MAKE IT VALID AND ENFORCEABLE.

23. INDEMNIFICATION

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS SIGLER DIGITAL SOLUTION PVT. LTD., TUKTUK, AND THEIR AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND SERVICE PROVIDERS FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, LIABILITIES, DAMAGES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS’ FEES AND LEGAL COSTS) ARISING OUT OF OR RELATED TO:

  • YOUR ACCESS TO OR USE OF THE SERVICES;
  • ANY CONTENT YOU POST, TRANSMIT, OR OTHERWISE MAKE AVAILABLE THROUGH THE SERVICES;
  • YOUR VIOLATION OF THESE TERMS OR ANY APPLICABLE LAW OR REGULATION;
  • YOUR VIOLATION OF ANY RIGHTS OF ANY THIRD PARTY, INCLUDING INTELLECTUAL PROPERTY OR PRIVACY RIGHTS; OR
  • ANY ACT OR OMISSION OF FRAUD, NEGLIGENCE, MISCONDUCT, OR UNAUTHORIZED USE OF YOUR ACCOUNT.

TUKTUK RESERVES THE RIGHT, AT YOUR EXPENSE, TO ASSUME THE EXCLUSIVE DEFENSE AND CONTROL OF ANY MATTER OTHERWISE SUBJECT TO INDEMNIFICATION BY YOU, IN WHICH EVENT YOU SHALL COOPERATE FULLY WITH TUKTUK IN ASSERTING ANY AVAILABLE DEFENSES.

THIS INDEMNIFICATION OBLIGATION WILL SURVIVE THE TERMINATION OR EXPIRATION OF YOUR ACCOUNT, THESE TERMS, AND YOUR USE OF THE SERVICES.

23. DIRECTORS, OFFICERS & EMPLOYEE INDEMNITY

To the fullest extent permitted by applicable law, Sigler Digital Solution Pvt. Ltd. (“the Company”) shall indemnify, defend, and hold harmless its current and former directors, officers, employees, representatives, and agents (“Indemnified Persons”) from and against any and all losses, liabilities, damages, claims, suits, actions, costs, and expenses (including reasonable attorney’s fees) arising out of or in connection with any act or omission by such Indemnified Persons in good faith and in the ordinary course of their duties under or in relation to these Terms, or while acting on behalf of the Company.

This indemnity shall not extend to any act of gross negligence, fraud, or wilful misconduct proven against such Indemnified Person.

The Company may advance costs and expenses to Indemnified Persons pending final resolution, subject to repayment if it is ultimately determined that the Indemnified Person is not entitled to indemnification.

24. LIMITATION OF LIABILITY (EXPANDED)

Except as prohibited by applicable law, in no event shall the aggregate liability of Tuktuk or Sigler Digital Solution Pvt. Ltd., its directors, officers, employees, or affiliates, arising out of or in connection with the Services or these Terms, exceed the total amount actually paid by you for the specific Service during the three (3) months immediately preceding the event giving rise to such claim.

The foregoing limitation shall apply even if other remedies fail of their essential purpose and shall survive termination of these Terms.

Nothing herein shall limit liability for fraud, intentional misconduct, gross negligence, or any liability that cannot be excluded under applicable consumer protection law.

25. INSURANCE

The Company intends to maintain commercially reasonable insurance coverage in the future, which may include cyber liability, professional indemnity (Errors & Omissions), and directors’ and officers’ (D&O) insurance, as the business scales.

The absence or availability of such insurance does not alter or expand the Company’s obligations or liabilities under these Terms.

26. DATA SECURITY AND BREACH RESPONSE

Tuktuk adopts commercially reasonable and industry-standard security measures to protect user data.

In the event of a data breach or security incident involving user data, the Company shall:

  • Promptly take reasonable steps to contain and assess the incident;
  • Notify affected users and relevant authorities, where required by applicable law; and
  • Cooperate in remediation and transparency consistent with legal obligations.

Users acknowledge that no method of data transmission or storage is fully secure, and the Company cannot guarantee absolute security.

The Company shall not be liable for any unauthorized access, hacking, or data loss caused by factors beyond its reasonable control, including third-party service providers or force majeure events.

27. THIRD-PARTY PROVIDERS AND EXPERT LIABILITY

All experts, listeners, or service providers (“Third-Party Providers”) listed on Tuktuk are independent contractors and not employees, partners, or agents of Sigler Digital Solution Pvt. Ltd.

The Company is not liable for, and expressly disclaims responsibility for, the conduct, representations, or advice of any Third-Party Provider.

Third-Party Providers are required to:

  • Enter into formal written agreements with confidentiality, data protection, and indemnity obligations;
  • Comply with all applicable laws, including the Information Technology Act, 2000 and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021; and
  • Maintain at their own cost appropriate professional and cyber liability insurance.

28. EMPLOYEE & CONTRACTOR OBLIGATIONS

All employees, contractors, and consultants of Sigler Digital Solution Pvt. Ltd. are bound by written confidentiality, non-disclosure, and intellectual property assignment agreements.

Any breach of these obligations by such individuals shall subject them to internal disciplinary action and may result in legal proceedings.

Intellectual property created by employees or contractors during the course of their employment or engagement with the Company shall automatically vest in the Company.

29. FORCE MAJEURE

Neither party shall be liable for any failure or delay in performance of obligations (other than payment obligations) under these Terms where such failure or delay results from circumstances beyond reasonable control, including but not limited to natural disasters, war, acts of terrorism, strikes, government actions, internet outages, or pandemics.

30. SURVIVAL

The provisions concerning Limitation of Liability, Indemnification, Directors & Officers Indemnity, Data Security, Intellectual Property, Dispute Resolution, and Governing Law shall survive the termination, suspension, or expiration of these Terms, regardless of whether the Company presently maintains or subsequently obtains any form of insurance.
